Identity of the contracting parties

In the process of registering the personal data that the client provides, the data will be processed under the Personal Data Processing Policies.

Purchase value
The prices established for each of the services or legal procedures offered are those published on the website. They include the Transfer Tax on Personal Property and Services (ITBMS – 7%). The price of each service on the website may differ from the final price agreed upon after resolving doubts or questions in each specific case. Therefore, in some cases, the prices are merely indicative. In the case of legal services for the creation of companies, it must be taken into consideration that the shipment or courier of the original final documents, as well as the shipment of the fiscal printer that must be sent outside the Republic of Panama or to the addresses within the Republic of Panama, are not included in the initial price that appears on the web. Likewise, for most of the services offered, the final cost of the Service will always be agreed with our agent once the doubts that may arise have been clarified.
Prices may be modified at any time without prior notice. Therefore, the Client must verify the same at the time of payment. The customer will have access to the summary of the purchase that will be displayed prior to the time of payment. Similarly, said summary will already contain the Transfer Tax on Movable Goods and Services (ITBMS – 7%).
The company creation or visa services prices do not include shipping or management costs. However, these expenses will be reflected in the purchase summary that will be displayed before the time of payment, where the total value of the payment will be reflected.
Order Summary
Before completing the purchase through the payment section, the client will see a summary of the order showing all the services or goods that they intend to acquire, with the necessary elements for identification; the individual price of each one of them, and the total price of the goods and services, also including the ITBMS, as well as the additional costs that must be paid for shipping and handling in addition to the total sum to be paid, including the shipping address of your request.
The client is responsible for verifying that the operation reflects their purchase intention, other conditions, and the destination address. The client can make the corrections or decline the sale if there is any inconsistency. Once the verification has been completed, they can confirm the purchase, which is understood to be accepted, known, and voluntary. Once the client agrees with the purchase summary, they are directed to the payment section. Payment
Payment will be made through any of the means provided on the page. Within twenty-four (24) hours after the purchase, the client will receive a receipt of their purchase order, with information on the services purchased, delivery time, total price paid, and how the payment was made.
Payment Support
The original invoice will be sent to the client by email. The original invoice will be provided when the final documents are shipped or delivered, where the corresponding contracted processing is recorded.
Particular Conditions of Use for Clients
The following clauses will govern the relationship between the Client and Legal Solutions Latam, the current Particular Conditions of use for Clients, Particular Conditions of use for Professionals, are understood as part of the Terms and Conditions.
The use and/or contracting of the services provided by Legal Solutions Latam determines the express adhesion and acceptance of the Client of the Terms and Conditions. The Client expressly accepts the online contracting of the services and their terms and conditions as valid.
Purpose of the website and scope of application
Legal Solutions Panama is an Internet Platform that connects individuals, legal entities, and other organizations (from now on, the "Clients") with legal, economic, and financial professionals (from now on, the "Affiliates or Professionals") to allow the exchange of legal, accounting, business management consulting, computer consulting, bookkeeping, auditing, and tax advice activities, preparation of reports and studies of commercial, economic, financial, administrative and organizational nature in exchange of a price.
These services may be fully or partially enabled on the Platform. Consequently, it does not imply an obligation for Legal Solutions Latam to include all the services described in the previous point in the platform. It will be at the discretion of Legal Solutions Latam to incorporate or delete services without entailing any right in favor of the Client.
This modification of services may be carried out immediately and without the need to notify the Clients. Therefore, the available services will be the ones active on the Platform.
Legal Solutions Latam makes available to Clients a group of Affiliates or independent Professionals who provide the services referred to in the first paragraph of this condition.
Use of the Technology Platform
To carry out the contracting procedure for the services that Clients expose through the completion of the various information forms that Legal Solutions Latam makes available to them on its online platform (www.legalsolutionspanama.com), Legal Solutions Latam puts at the disposal of its Affiliates or Professionals a technological Platform that allows them to identify the services required by the Clients. Before communicating any case to the Affiliates or Professionals who adhere to its Platform, Legal Solutions Latam undertakes to collect from the Client all the documents and information that are considered necessary for the performance of the corresponding service or procedure. Once Legal Solutions Latam, through its Platform, obtains all the essential information to open the case, it will proceed to select the Affiliate or Professional who, according to his proven experience and what is requested by the Client, can resolve quickly and effectively the needs of the Client. Legal Solutions Latam makes the necessary inquiries with the Client to deliver the most extensive and precise information to the selected Affiliate or Professional
Once the information on the case has been transferred to the selected Affiliate or Professional, the latter will have a maximum of 24 hours to communicate directly with the Client to carry out the corresponding service or request. If, within 24 hours, the Affiliate or Professional has not contacted the Client, it will be considered that this Affiliate or Professional does not accept the order made by Legal Solutions Latam, leaving Legal Solutions Latam authorized to reassign said case to another Affiliate or Professional who must comply with the same deadlines and terms that were offered to the former Affiliate or Professional.
Through the Intranet that Legal Solutions Latam will make available to the Affiliate or Professional, the latter may not only communicate with their client but also directly access the account or application assigned to them. Here they can download all the information and documentation related to the case that has been assigned to them. From that moment on, it directly accesses all the clients’ information or personal data that is owned and is under the guardianship of Legal Solutions Latam, which is why it expressly undertakes to destroy any data or personal information of the Client once the case associated with that data has been closed or archived.
Publication of information
For Legal Solutions Latam to be able to use the information provided by Clients, they must grant Legal Solutions Latam permission for it to have the right to use said material under the legal regulations on copyright, trademarks, advertising, and personal databases regarding Clients in any known and unknown means of communication.
IIdentification of the services that the Client wishes to receive
The Client will select on the website www.legalsolutionspanama.com the service they wish to contract. To receive detailed information about the possibilities of their case, they must complete and attach the requested documents.
Legal Solutions Latam will carry out a detailed study of the Client's request and will be able to communicate with the Client to receive or clarify any doubt about the procedure or service to be provided.
Legal Solutions Latam will manage the specific identification of the services, their availability, and any aspects that affect their provision. Once these aspects have been identified, Legal Solutions Latam will assign the Affiliate or Professional who can best resolve the case received
From the assignment of an Affiliate or Professional, Legal Solutions Latam undertakes to follow up on the cases and their resolution and attend to any request from the Clients, guaranteeing the correct and timely execution of the assigned Legal Project.
When an Affiliate or Professional is assigned a case, and Legal Solutions Latam determines that there is a lag or delay in response to the Client, Legal Solutions Latam is authorized to assign the case to another Affiliate or Professional, provided that the Affiliate or Professional chosen must communicate to the client the status of their case at all times and record it on the Platform or through emails. By not doing so, that is, by not giving adequate follow-up, Legal Solutions Latam is under the obligation to assign that case to another available Affiliate or Professional.
The Client will publish through the Platform the legal activities, accounting activities, business management consulting activities, computer consulting activities, bookkeeping, auditing, tax advice, and preparation of reports and studies in matters of commercial, economic, financial, administrative, and organizational nature.
The information provided by the Client through the web www.legalsolutionspanama.com or by email must exist, must be accurate, and truthful. The Client is solely responsible for the information provided to Legal Solutions Latam. Customers must provide true, accurate, current, and complete information. The Client's information must not be directly or indirectly connected to any other web page. Customers must not impersonate any person or entity or use false or unauthorized identities.
In no case may the Client include in the information provided, data of identified or identifiable natural or legal persons. If this information is necessary to provide the services offered by the Affiliates or Professionals, it will only be provided once their services have been contracted and within their established contractual relationship.
The Client undertakes not to use any contact and personal information of another Client or Professional to send unauthorized messages or with commercial content, except as expressly permitted in these Terms and Conditions, or when expressly authorized by a client or Professional, after adequate disclosure of the purpose for which this information is intended. In addition, by using the Legal Solutions Latam Service, every Client authorizes this party to use the information only in accordance with current legislation and regulations, including, without limitation, data protection and confidentiality laws.
The Client undertakes not to use any contact and personal information of another Client or Professional to send unauthorized messages or with commercial content, except as expressly permitted in these Terms and Conditions, or when expressly authorized by a client or Professional, after adequate disclosure of the purpose for which this information is intended. In addition, by using the Legal Solutions Latam Service, every Client authorizes this party to use the information only in accordance with current legislation and regulations, including, without limitation, data protection and confidentiality laws.
ILikewise, using the Platform in a way that harms its Users or third parties is strictly prohibited.
Also, the Client will refrain from carrying out any action that in any other way overloads, damages, or disables the networks, servers, and other computer equipment (hardware) or products and computer applications (software) of Legal Solutions Latam or third parties.
Legal Solutions Latam reserves the right to delete or modify any type of information provided by the Client if it considers it harmful.
If the Client detects any information or content offered by third parties that may be considered illegal, they can notify Legal Solutions Latam through the procedure described in the Privacy Policy.
To insert information into the Platform, the Client must complete the registration form and accept the terms, conditions, and data policy. Once the information is published or uploaded, if it complies with the Platform's publication rules, the Client will receive a notification confirming the publication of their information.
The information uploaded on the Platform will remain published on it for an uninterrupted period and until the contracted service has come to an end. Once the service is finished, Legal Solutions Latam undertakes to archive said information for the terms established by the Legislation, in order to safeguard its responsibilities in the future.
Responsibilities and Scope of Contracted Services
Legal Solutions Latam commits to guaranteeing the Clients in their Platform (www.legalsolutionspanama.com) the following:
Procedure to select the services offered by Professionals
Legal Solutions Latam will select the Affiliate or Professional that it considers most suitable to provide the services requested by the Client.
Legal Solutions Latam only works with expert Affiliates and Professionals with known competence to manage their clients’ cases. However, Legal Solutions Latam will not be responsible for their actions before the Authorities or Understandings in the execution of their obligation.
Exclusion of liability
Legal Solutions Latam reserves the right to investigate any negative or suspected negative situations and fraudulent assessments. Legal Solutions Latam may also delete assessments and comments reproduced on the Platform if it considers it appropriate and even remove the condition of Client when it deems reasonable and prevent the Client from interacting in the Platform again.
Legal Legal Solutions Latam may not be involved in negotiations between Professionals with Clients, and if a client is involved in a dispute with a Professional, Legal Solutions Latam is now exonerated from any liability.
The Affiliate or Professional must be duly qualified and dedicated, among any other activities, to those that have been detailed above, according to the request or petition and its characteristics. In this sense, the Affiliate or Professional is an independent Professional of Legal Solutions Latam, who organizes his activity freely and without there being a dependent relationship between the Affiliate or Professional and Legal Solutions Latam. The Affiliate or Professional will comply and must always comply with all the legal and fiscal obligations that apply to them as a result of the provision of services.
The Affiliate or Professional guarantees that they have all the titles and authorizations that are necessary to carry out the provision of the professional services in question in each case and that they have not been convicted by a final sentence, for the commission of crimes, which carry a penalty equal to or greater than six months of deprivation of liberty, as long as the criminal responsibility has been extinguished, or they have not been disqualified from the exercise of professional activity.
The Client assumes that it is his responsibility to check the veracity of all the information or documents presented by the Affiliate or Professional before accepting any of the products or services.
Legal Solutions Latam does not offer guarantees on the results of the products or services acquired nor of any of the transactions carried out through this Platform. In addition, Legal Solutions Latam disclaims any responsibility for the result of any request or petition made, or not made, by the Affiliate or Professional.
Neither does Legal Solutions Latam offer a guarantee to Affiliates, Professionals, or Clients regarding the results obtained by both the Affiliate and Professional in providing their services. In other words, Legal Solutions Latam is solely and exclusively committed to guaranteeing the administrative management of the case, maintaining complete transparency of the management carried out by our Affiliates or Professionals supplying their technological Platform, as well as guaranteeing adequate communication between the parties that always guarantees knowledge on the status of the procedure or process. In addition, Legal Solutions Latam offers its Platform so that both Affiliates and Clients can communicate related complaints and thus reach an understanding.
Conflict resolution
Whenever there is a conflict between a Client and an Affiliate or Professional, the Client must first try to resolve the dispute with the Professional and then communicate the result to Legal Solutions Latam.
Legal Solutions Latam can investigate all claims made by Clients to Affiliates or Professionals. The result of the investigation carried out by Legal Solutions Latam will be one of the following:
The Client and the Affiliate or Professional exonerate Legal Solutions Latam from liability for all damages or claims related to the above actions.
Suspension and termination
Legal Solutions Latam reserves the right to suspend or interrupt its Service to a Client immediately at any time when it suspects that the Client is violating any aspect contained in these Terms and Conditions.
Payment conditions
Legal Solutions Latam provides its information and advisory services free of charge to Clients who, through an email or contact form, request information about the services through our technological Platform.
The Client will only pay for the services once they agree with the contracted terms and conditions. Payment can be made through our Platform using credit cards, bank transfers, PayPal, and any available means.
General
The User declares and acknowledges having thoroughly read the terms of use of these Terms and Conditions. The connection to the following address: www.legalsolutionspanama.com, implies acceptance of these Terms and Conditions.
Legal Solutions Latam reserves the right to modify these Terms and Conditions in whole or in part. Therefore, it is the User who must regularly consult the latest version of the same published at the address www.legalsolutionspanama.com/terms-and-conditions.com . In each new connection to the web page, the User will expressly accept the updated version of the Terms and Conditions.
If the Affiliate or Professional does not agree with the changes in the Terms and Conditions, they must, if they wish, process their request to unsubscribe from the Platform and stop using the Services of Legal Solutions Latam, always after completing payment, of all debt to Legal Solutions Latam, if any. If they continue to use it after the date on which the changes are published, it will be understood that they agree with the modifications.
If the User does not respect these applicable Terms and Conditions, Legal Solutions Latam reserves the right to suspend the User's account, either Client or Affiliate or Professional, without prior notice and may deny access to the Service.
The titles of the clauses do not affect their content.
If any provision of this Agreement is found to be illegal or invalid, the rest will continue to be valid.
Waiver of any term or condition of this Agreement by either party or any breach or default by the Client may result in immediate termination of the Agreement.
These Terms and Conditions are governed by Panamanian law. The parties submit to resolve the conflicts and waive any other jurisdiction to the Jurisdiction and Competence of the Courts of the Republic of Panama and its superior Courts.
Particular Conditions of Use for Affiliates or Professionals of the Platform www.legalsolutionspanama.com
This document aims to establish the Particular Conditions of Use for Affiliates or Professionals of the Internet Platform corresponding to the address: www.legalsolutionspanama.com (hereinafter, the "Platform"), that Legal Solutions Latam S.A., commercial company of Panamanian nationality with RUC: 155676641-2-2019 and registered office at Ave. Samuel Lewis, Calle 54E Obarrio, Torre Generalli, Floor 20, Panama City, and registered in the Public Registry of Panama, on Folio 155676641, puts available to internet users.
The relationship between the Affiliate or Professional and Legal Solutions Latam will be governed by these Particular Conditions of Use for Affiliates or Professionals, considering this an Annex and an integral part of the Terms and Conditions.
The use and/or contracting of the Service determines the express adhesion and acceptance of the Terms and Conditions and all its annexes. The Affiliate or Professional expressly accepts the online contracting of the Terms and Conditions and their annexes as valid.

These services may be fully or partially enabled on the Platform. Consequently, it does not imply an obligation for Legal Solutions Latam to include all the services described in the previous point in the platform. It will be at the discretion of Legal Solutions Latam to incorporate or delete services without entailing any type of right in favor of the Affiliate or Professional.
This modification of services may be made immediately and without the need for any notification to Affiliates or Professionals. Therefore, the available services will be those that are always active on the Platform.

The Affiliate or Professional is independent of Legal Solutions Latam and organizes its activity freely and without a dependent relationship between them and Legal Solutions Latam. The Affiliate or Professional complies and must comply at all times, with all the legal and fiscal obligations that apply to them as a result of the provision of services.
The Affiliate or Professional guarantees that they have all the titles and authorizations that are necessary to carry out the provision of the professional services in question in each case and that they have not been convicted by a final sentence, for the commission of crimes, which carry a penalty equal to or greater than six months of deprivation of liberty, as long as the criminal responsibility has been extinguished, or they have not been disqualified from the exercise of professional activity.
Use of the Platform
In order to carry out the contracting procedures of the services that the Clients expose through the use of the Platform, Legal Solutions Latam after the pertinent evaluation of each case and obtaining the minimum documents to be able to start the presentation of the requests or petitions before the corresponding Entities or Authorities, will make available to the Affiliates or Professionals a technological Platform that will allow them to complete their Affiliate or Professional profile and thus be able to be certified by Legal Solutions Latam in order to be chosen for the carrying out of processes or procedures related to their experience and knowledge.
The Legal Solutions Latam Platform allows the Affiliate or Professional to maintain their absolute independence in terms of the forms, means or mechanisms they use in the performance of their work or in the provision of services and in establishing the conditions of availability for each of the cases exposed by the Clients in the Platform. Legal Solutions Latam will offer fixed prices on the Platform for the services offered. These prices are known and are previously accepted by the Affiliate or Professional before agreeing to collaborate with Legal Solutions Panama, and in no case can they agree with the client to pay any other amount that is not contemplated in the Private Collaboration Agreement signed between Legal Solutions Latam and its Affiliate or Professional.
To acquire the status of Affiliate or Professional, the latter must complete the registration form, accept the privacy policy and the Terms and Conditions, and this Annex of Particular Conditions of Use for Professionals.
Subsequently, the Affiliate or Professional may choose some access codes to enter the Platform (hereinafter "the Passcode"). These Access Codes will consist of the User's email and a password of their choice, which will be necessary to access the Affiliate or Registered Professional area and manage the information referring to their services. While said access is not operational, all communication will be carried out through emails that the Platform will provide to each Affiliate or collaborating Professionals. In addition, Affiliates or Professionals will have access to an Intranet where they can see and record the progress of their management.
Use of Access Codes
The User Passcode is for the exclusive use of the Affiliate or registered Professional. Hence, the latter undertakes to make individual and correct use of them and not to provide them to third parties. Suppose the Professional wishes to change their Access Passcodes, in that case, either because they consider that they are at risk of being revealed to third parties or because they want to, they must go to the Legal Solutions Latam System and activate the technical mechanism established to carry out the aforementioned change of Passcodes.
The Affiliate or Professional will be solely responsible for correctly using their Passcodes within the System.
Assignment of Professional orders
Legal Solutions Latam will make available to Affiliates or Professionals registered through the Platform the requests or procedures that fit their experience and capacity.
To be considered to represent a case, process, or procedure, the Affiliate or Professional must be registered in our Platform, and after an evaluation and personal interview and having received all the documents that prove their suitability, Legal Solutions will include them as an active Affiliate or Professional in order to receive processes or procedures related to their experience. Legal Solutions Latam and the Affiliate or Professional must proceed to sign a service contract in which the conditions that will govern the commercial relationship between them will be established.
Each request or procedure will be identified with an entry number by Legal Solutions Latam, which will be the locator of the case.
Before adjudicating the case to any of its Affiliates or Professionals, and depending on the case, Legal Solutions Latam can send a query to several of them in order to see how they would resolve the cases and in the case of a special Service that does not fit into any of the services already offered on the Platform, it will request quotes and deadlines to choose the best option.
If the Affiliate or Professional accepts the proposed services offered by Legal Solutions Latam, the Affiliate or Professional will contact the Client to introduce themselves and request any other document that has not been delivered.
In no case will Legal Solutions Latam be responsible for the solvency of the Clients, their ability to pay, the veracity of the information provided by the Client, or any other element that affects any external process that has not been contracted through the Platform, nor has been previously notified of the intention to carry out said task. Consequently, Legal Solutions Latam will not assume any type of responsibility derived from the legal and/or professional relationship that arises from the provision of services between Client and Affiliate or Professional for cases, processes, or procedures that have been agreed outside the Platform and due to the unawareness of Legal Solutions Latam.
Likewise, the responsibility of Legal Solutions Latam is limited solely and exclusively to guaranteeing the timelines, deadlines, and due executions, that is, the administrative, legal management, communication, and monitoring of the process with the Affiliate or designated Professional. In addition, Legal Solutions Latam cannot guarantee the results desired by the client since this depends on external factors and decisions of bodies, Entities, or independent State Authorities. Legal Solutions Latam can only guarantee that Affiliates and Professionals carry out the procedures that they consider necessary to achieve the best results. Legal Solutions Latam cannot be held responsible for the expiration of the term not attended by the Affiliates or Professionals since they agree to carry out their work correctly and with due diligence.
Provision of services
The Affiliate or Professional must provide their services in accordance with the highest level of responsibility, complying with all the regulations that may be applicable, as well as compliance with the ethical standards that correspond to the exercise of their professional activity.
The Affiliate or Professional guarantees that they are in possession of as many titles and qualifications that are necessary for the provision of services in the manner established in these Particular Conditions, as well as in the provisions contained in each of the policies that, where appropriate, could be prepared by Legal Solutions Latam, annexed to these Particular Conditions of use for Professionals.
Quality control of services and professionalism of Affiliates or Professionals
Despite the absence of an obligation of results by Legal Solutions Latam, it knows and is fully aware of how important it is for Clients to experience a quality and professional service, in addition to the personal trust that a client places in the Professional when they entrusted the provision of services through the Platform to them.
Therefore, to evaluate the Professional's technical qualification, Legal Solutions Latam will conduct an analysis before and/or after incorporating the Affiliate or Professional into the Platform. For this, Legal Solutions Latam may carry out personal interviews, tests, surveys, and any other type of evaluation that it deems appropriate in relation to the services it offers through its Platform.
These tests will always be carried out respecting the privacy of the Affiliate or Professional and complying with the provisions of the privacy policy.
These evaluations may be prior or subsequent to the acceptance of these Particular Conditions of use for Professionals. In the event that Legal Solutions Latam, once the same has been carried out, does not consider that the Professional should continue with the provision of the services, it will proceed to notify the Client of such circumstance so that the Client can decide at its own discretion to resolve the relationship with the Professional.
The termination of the agreement by the Client will not grant any right to compensation for damages in favor of the Professional against Legal Solutions Latam, the latter waiving any claim in this concept.
Likewise, the Professional accepts that Clients can rate their services and that such evaluation can be disclosed to other Clients of the Platform. Legal Solutions Latam reserves the right to investigate and supervise any negative review that could be considered fraudulent and eliminate the rating and comments if deemed appropriate.
Rights and obligations of Legal Solutions Latam
Legal Solutions Latam may modify the Terms and Conditions and their Annexes, publishing the changes through the Platform.
The Affiliate or Professional expressly accepts this possibility, as well as that the notification of the changes will be fully binding for the Users of the Platform, and therefore for the Affiliates or Professionals, from the day of their notification, which they accept to be carried out through the indicated publication.
Legal Solutions Latam reserves the right to dispense with and terminate its relationship with Affiliates or Professionals who do not meet the quality standards required by Legal Solutions Latam, in its opinion, expressly waiving any claim for this concept.
File and transfer of data
The data that the Affiliate or Professional provides to Legal Solutions Latam will be incorporated and processed in the files owned by Legal Solutions Latam to provide our services and keep you informed about matters related to the company's activity and its services.
By accepting these particular conditions, the Affiliate or Professional gives their express consent so that Legal Solutions Latam can use the data provided by the Affiliate or Professional for this specific purpose, which includes, in this case, the transfer of said information to third parties.
In the event of canceling the service, Legal Solutions Latam reserves the right to keep the information of the Affiliate or Professional contained in their files for statistical purposes.
By accepting the Terms and Conditions and in accordance with the provisions of Article 42 of the Constitution of the Republic of Panama, in terms of Data Protection, Affiliates or Professionals give their consent that conversations with Legal Solutions Latam may be recorded as part of a processing of personal data for quality reasons in order to better meet their needs, not conceding to any other organization other than the person responsible for the processing, or at judicial request, or any other public body that is authorized to request it, and the Professional may exercise their rights of access, rectification, cancellation, and opposition.
Affiliate or Professional Rights and Obligations
The Affiliate or Professional grants Legal Solutions Latam, on his behalf, a non-exclusive, worldwide, indefinite and irrevocable license, allowing sub-licensing, royalty-free for the exercise of copyright, trademark, publicity and data rights that the Professional has provided in the information.
The Affiliate or Professional will ensure that the information provided does not cause interruption or damage to the Platform, nor that it makes it less efficient. They will also ensure that the information provided does not contain any computer virus, macro virus, Trojan Horse, "worm," or any other technique designed to interfere, interrupt, or disrupt the normal operating procedures of a computer.
The Affiliate or Professional undertakes to provide true, accurate, current, and complete information to Legal Solutions Latam.
The Affiliate or Professional is exclusively responsible for ensuring that they meet the legal requirements and have the sufficient technical capacity to present proposals and be able to represent any Client if they sue on the Platform.
It is prohibited to transfer or sell the Client's contact to third parties or use their data for purposes other than those established in the Terms and Conditions.
The Affiliate or Professional is solely responsible for the information he provides on the Platform.
The Affiliate or Professional undertakes not to mediate or act on behalf of any other company, person, or entity, answering for the veracity of their identity data, therefore not being able to use a pseudonym, or a false or fictitious name or denomination, or a name that you are not authorized to use.
Exclusion of liability
Legal Solutions Latam acts as an intermediary between Clients who use the Platform to find a suitable Affiliate or Professional to manage their case and the ideal Affiliate or Professional who wants to get more Clients through the Platform. Legal Solutions Latam acts as an administrative legal manager, guaranteeing fluid communication between the Client and the Affiliate or Professional and that the communications and documentation exchanged between the parties are recorded in writing to ensure better results. Legal Solutions Latam will be the overseer of the service payment and will pay the same to the Affiliates or Professionals when the milestones previously agreed upon with each Affiliate or Professional are met. Being the Client aware of the payments being made to the Affiliate or Professional assigned to their case.
However, Legal Solutions Latam cannot be considered as part of the contractual relationship that arises between the Client and the Affiliate or Professional, since the only person responsible before the Entities or Authorities competent to meet the Client's request accepted by the Affiliate or Professional will be the one who, at the time, represents or records through Powers of Attorney the representation of the Client's interests, that is, the Affiliate or Professional. Therefore, in no case will Legal Solutions Latam be responsible to the Client for any consequences resulting from relations with the Affiliate or Professional to whom their case is assigned. And much less of the results obtained from the procedures or processes executed by the Affiliate or Professional.
Legal Solutions Latam will not be responsible for any loss or damage resulting from events related to this contract, including death, damages due to loss and interruption of business, loss of benefits, loss of profits or consequential damages, loss of information, loss of data, or any other direct or indirect pecuniary loss (even if Legal Solutions Latam has been advised of the possibility of such loss or damage).

Legal Solutions Latam does not guarantee that the information about Clients, the information provided on the Platform, or any communication from Legal Solutions Latam is correct, intelligible, complete, and up to date. The information may have inaccuracies, typographical errors, mistakes, or omissions caused by human or technological errors.
LNeither does Legal Solutions Latam offer any guarantee to Affiliates, or Professionals, or Clients regarding the results obtained by either the Affiliate or Professional in providing their services or the accuracy of any information obtained through the Platform.
Suspension and termination
At any time, Legal Solutions Latam reserves the right to suspend or interrupt the Service to an Affiliate or Professional, with immediate effect, when it suspects that the Affiliate or Professional is violating any aspect contained in these Terms and Conditions and its Annexes, and in any case, if it does not pass the technical qualification evaluations regulated in the conditions related to the quality control of the services, without this implying compensation of any kind.
Payment conditions
This section defines the rates and payment conditions for using the Legal Solutions Latam Service, which must be interpreted together with the Terms and Conditions.
Only once Affiliates or Professionals successfully register on the Platform may they be considered to meet any request or process related to their experience and competence. If they want to contact the Clients, they must have passed a review process of their suitability and trajectory.
Affiliates or Professionals will be able to access the Platform free of charge, and once they have been selected to handle a case, they will see the applications or petitions assigned to them.
Each assigned case or process will be identified with an entry number. Once a case or process is assigned, the Affiliate or Professional has 24 hours to communicate by telephone with their client, introduce themselves, and give them feedback regarding the process they will initiate.
The Affiliate or Professional acknowledges having contracted the services offered by Legal Solutions Latam by accepting the terms and conditions of a Private Agreement in which the conditions and commissions are established for the cases sent by Legal Solutions Latam.
The Affiliate or Professional acknowledges that Legal Solutions Latam will be responsible for issuing the corresponding charges for the services to be offered to the Client and that it will act as the holder of the funds until the milestones established between the parties are met. Once the milestones are met, the corresponding payments will be made to the Affiliate or Professional for the work done. It will not be until the Client receives the official document in response to his request that Legal Solutions Latam will release the final amounts agreed with the Affiliate or Professional.
Additional Information
Legal Solutions Latam, at its option, may block or withhold amounts, or offset the value of pending payments, with the amount paid, with any debts that the Affiliate or Professional may have with the Platform.
For the convenience of the Affiliate or Professional and to minimize expenses, Legal Solutions Latam reserves the right to save the payment data on a secure server.
It is expressly established in favor of Legal Solutions Latam to reserve the possibility of ending any relationship or collaboration with an Affiliate or Professional unilaterally and without the need to prove the existence of non-compliance by the Affiliate or Professional. In this case, Legal Solutions Latam will notify the termination of the relationship, giving a period of 2 months for the Professional to complete the pending processes, cases, or procedures. After 2 months, Legal Solutions Latam will proceed to suspend the Account of the Affiliate or Professional and may deny access to the service, thereby canceling the relationship, without the Affiliate or Professional having any compensation right, which in any case waives by accepting these Terms and Conditions and their annexes.
These Terms and Conditions with their respective annexes are governed by Panamanian law. The parties submit for the resolution of conflicts to the Jurisdiction and Competence of the Courts of the Republic of Panama and its superior Courts, waiving any other jurisdiction.
The current version of the conditions will remain published on the website for consultation. It is, therefore, the user's responsibility to keep a copy of the accepted conditions to make any subsequent claim.
